Terms & Conditions - Trade

 

  1. Definitions
    1. "we", "our", or "us" refers to Jewellery Services Limited.
    2. "you", "your" or "customer" refers to the customer, either retail or wholesale, either person or business.
    3. "due date" means the date that payment is due, as specified in the tax invoice.
    4. "quote" means a written fixed price offer for a product and/or service, valid for a specific period.
    5. "estimate" means an approximate cost provided in good faith but subject to change.
    6. "service", "good" or "product" and their plural, shall refer to all goods and services of any kind that we provide.
  2. General
    1. Jewellery Services Limited trades as Jewellery Services.
    2. These terms & conditions are subject to change at any time at our sole discretion.
    3. These terms and any associated contract shall be governed by the laws of New Zealand and are subject to the jurisdiction of the courts of New Zealand.
    4. If any provision of these terms is found to be invalid, void, illegal, or unenforceable, the validity of the remaining provisions shall not be affected.
  3. Pricing
    1. Unless agreed otherwise in writing, our prices are subject to change without notice.
    2. If we provide a written quote, the pricing will remain fixed for the agreed period or, if unspecified, until reasonable notice is given.
    3. All quotes and estimates are valid for 30 days from the date of issue, except for diamonds and gemstones, which are valid for 7 days.
    4. Pricing may be stated as GST-inclusive or GST-exclusive.
    5. All pricing is provided in New Zealand Dollars (NZD).
  4. Payment Terms
    1. Unless otherwise agreed in writing, full payment is due by the 20th of the month following the invoice date.
    2. Payments must be made in full without offset, counterclaim, or deduction unless required by law or agreed in writing.
    3. Late payments will incur interest at 10% per annum, compounded monthly, on the outstanding amount.
    4. You are responsible for any collection costs incurred, including reasonable legal and debt recovery fees.
    5. We reserve the right to suspend or restrict services for overdue accounts with 7 days’ notice.
  5. Warranties
    1. We provide a 90-day warranty for goods and services from the date of invoice.
    2. This warranty does not apply if:
      1. The product has been misused, improperly handled, or modified by a third party.
      2. Damage results from normal wear and tear.
      3. The item has been subject to neglect or external force.
      4. Any repairs are attempted by someone other than us.
  6. Risk & Liability
    1. We are not liable for any loss or damage to goods while in our possession unless proven to result from our negligence.
    2. Risk for goods transfers to the customer upon delivery.
    3. Our liability for any claim shall not exceed the total amount paid by the customer for the affected goods or services.
    4. We are not responsible for consequential losses, including lost profits, business interruption, or third-party claims.
  7. Delivery
    1. We will arrange delivery using a carrier of our choice unless otherwise agreed in writing.
    2. Delivery costs are in addition to product prices unless specified otherwise.
    3. Risk of damage or loss in transit is the responsibility of the customer upon dispatch.
    4. Estimated delivery times are not guaranteed and may be subject to delays beyond our control.
  8. Disputes
    1. Any disputes or concerns regarding charges or product defects must be raised within 7 days of the issue.
    2. If we agree with your claim, we will either provide a **replacement service or adjust the billing accordingly.
    3. If we do not agree and the dispute remains unresolved for 30 days, either party may refer the matter to a mutually agreed mediator.
    4. If mediation fails, the dispute may be referred to binding arbitration in accordance with the Arbitration Act 1996 (NZ).
  9. Confidential Information
    1. All product and service pricing that is not publicly listed on our website is confidential.
    2. You may not disclose any commercially sensitive information received from us unless we agree in writing.
    3. Confidentiality obligations survive contract termination.
  10. Force Majeure
    1. We are not liable for non-performance or delays due to circumstances beyond our control, including but not limited to:
      1. Government regulations or restrictions
      2. Strikes, lockouts, or labour disputes
      3. Transportation delays or supply chain disruptions
      4. Acts of God (e.g., earthquakes, floods, pandemics)
    2. We will notify you within 7 days of a force majeure event.
    3. If a force majeure event continues for more than 90 days, either party may terminate the contract.
