- Definitions
- "we", "our", or "us" refers to Jewellery Services Limited.
- "you", "your" or "customer" refers to the customer, either retail or wholesale, either person or business.
- "due date" means the date that payment is due, as specified in the tax invoice.
- "quote" means a written fixed price offer for a product and/or service, valid for a specific period.
- "estimate" means an approximate cost provided in good faith but subject to change.
- "service", "good" or "product" and their plural, shall refer to all goods and services of any kind that we provide.
- General
- Jewellery Services Limited trades as Jewellery Services.
- These terms & conditions are subject to change at any time at our sole discretion.
- These terms and any associated contract shall be governed by the laws of New Zealand and are subject to the jurisdiction of the courts of New Zealand.
- If any provision of these terms is found to be invalid, void, illegal, or unenforceable, the validity of the remaining provisions shall not be affected.
- Pricing
- Unless agreed otherwise in writing, our prices are subject to change without notice.
- If we provide a written quote, the pricing will remain fixed for the agreed period or, if unspecified, until reasonable notice is given.
- All quotes and estimates are valid for 30 days from the date of issue, except for diamonds and gemstones, which are valid for 7 days.
- Pricing may be stated as GST-inclusive or GST-exclusive.
- All pricing is provided in New Zealand Dollars (NZD).
- Payment Terms
- Unless otherwise agreed in writing, full payment is due by the 20th of the month following the invoice date.
- Payments must be made in full without offset, counterclaim, or deduction unless required by law or agreed in writing.
- Late payments will incur interest at 10% per annum, compounded monthly, on the outstanding amount.
- You are responsible for any collection costs incurred, including reasonable legal and debt recovery fees.
- We reserve the right to suspend or restrict services for overdue accounts with 7 days’ notice.
- Warranties
- We provide a 90-day warranty for goods and services from the date of invoice.
- This warranty does not apply if:
- The product has been misused, improperly handled, or modified by a third party.
- Damage results from normal wear and tear.
- The item has been subject to neglect or external force.
- Any repairs are attempted by someone other than us.
- Risk & Liability
- We are not liable for any loss or damage to goods while in our possession unless proven to result from our negligence.
- Risk for goods transfers to the customer upon delivery.
- Our liability for any claim shall not exceed the total amount paid by the customer for the affected goods or services.
- We are not responsible for consequential losses, including lost profits, business interruption, or third-party claims.
- Delivery
- We will arrange delivery using a carrier of our choice unless otherwise agreed in writing.
- Delivery costs are in addition to product prices unless specified otherwise.
- Risk of damage or loss in transit is the responsibility of the customer upon dispatch.
- Estimated delivery times are not guaranteed and may be subject to delays beyond our control.
- Disputes
- Any disputes or concerns regarding charges or product defects must be raised within 7 days of the issue.
- If we agree with your claim, we will either provide a **replacement service or adjust the billing accordingly.
- If we do not agree and the dispute remains unresolved for 30 days, either party may refer the matter to a mutually agreed mediator.
- If mediation fails, the dispute may be referred to binding arbitration in accordance with the Arbitration Act 1996 (NZ).
- Confidential Information
- All product and service pricing that is not publicly listed on our website is confidential.
- You may not disclose any commercially sensitive information received from us unless we agree in writing.
- Confidentiality obligations survive contract termination.
- Force Majeure
- We are not liable for non-performance or delays due to circumstances beyond our control, including but not limited to:
- Government regulations or restrictions
- Strikes, lockouts, or labour disputes
- Transportation delays or supply chain disruptions
- Acts of God (e.g., earthquakes, floods, pandemics)
- We will notify you within 7 days of a force majeure event.
- If a force majeure event continues for more than 90 days, either party may terminate the contract.
